Announcing Ramboll ENVIRON

ENVIRON would like to share with you more information about our recent merger with Ramboll Group A/S (Ramboll), northern Europe’s leading engineering and design consultancy. Completed December 31, 2014, the merger resulted in a privately held organization of more than 12,000 employees across 300 offices in 35 countries, including 2,700 environment, health and water consultants worldwide.

The merger created new global Environment & Health (E&H) and Water business units within Ramboll. ENVIRON’s leaders maintain leadership roles in these new business units, enhancing continuity as we move forward together. The new E&H business unit is one of the two largest business units of Ramboll, establishing environment and health consulting as a key service offering of Ramboll.

What does this mean for our clients?

Our two organizations share a culture of excellence, innovation and client service. Ramboll’s capabilities in the energy, oil and gas, water resources, sustainable development and climate change sectors position us to provide an even higher level of service to our clients around the world. Together we can address some of the most important issues facing our global community—including the environmental and health implications of urbanization, climate change and resource scarcity. We also are able to support our clients on larger, more challenging multidisciplinary projects that require broader capabilities than we could offer before the merger. For example, additional Ramboll offerings that did not previously exist at ENVIRON include engineering of buildings, transportation infrastructure and a management consulting practice that addresses the socio economic aspects of environmental assessments and infrastructure projects to support sustainability objectives.

Simply put, we are now in an even better position to serve clients.

Name changes and corporate organization

In January 2015, the legal name of ENVIRON Holdings, Inc. (a Delaware corporation), the parent company of all ENVIRON subsidiaries around the world, was changed to Ramboll Environ, Inc. (“REI”). REI continues to own all the ENVIRON subsidiaries. The legal names of all REI subsidiaries are expected to change either on or about May 1 or later this year.

Logo and Trade Name

As of May 1, 2015, REI and all subsidiaries around the world will trade under the logo appearing at the top of this email and the trade name Ramboll Environ.

From May 1st, you’ll able to learn more about the E&H and Water global business units and about Ramboll on ramboll-environ.com and ramboll.com.

No Transfers of Assets or Contracts

Other than the merger of a new subsidiary of Ramboll into REI, there were no mergers of Ramboll Environ companies and no transfers of stock or assets or assumptions of liabilities by Ramboll Environ companies. Thus, the financial condition of each Ramboll Environ company remains as it was prior to the merger.

The merger of REI and the legal name changes of the Ramboll Environ companies do not affect  any contracts. Each Ramboll Environ company remains bound by each of its contracts to the same extent as it was prior to the merger. All work on your projects will continue uninterrupted, with no need to revise contracts or contract terms.
